Both the restaurant and the supplier acknowledge that FoodieHub is an exclusive electronic intermediary platform designed to facilitate communication and transactions. Accordingly, the platform disclaims any responsibility as follows:
1. Financial Responsibility: The platform is not liable for payment of orders, credit fulfillment, or any financial claims arising between the restaurant and the supplier.
2. Operational and Quality Responsibility: The platform does not guarantee product quality, compliance with specifications, or the safety of storage and transportation. Delays or failures in delivery are the sole responsibility of the parties involved.
3. General Legal Accountability: The platform bears no legal consequences or financial liability for disputes between the parties, and its role is limited to providing a communication tool.
Article 2: Platform Authority in Organization and Enforcement
To protect users' rights and ensure a secure environment, both parties acknowledge the platform's authority to take necessary disciplinary actions:
1. Suspension and Deletion for Serious Violations: The platform may temporarily suspend or permanently delete accounts in case of serious violations, including:
- Non-payment by the restaurant.
- Supplier delivering products not meeting specifications or repeated unjustified delays.
- Attempts to circumvent the platform to avoid commissions.
2. Monitoring and Verification: The platform may intervene and verify any substantial dispute to assess violations and take appropriate disciplinary measures.
Article 3: Data Waiver and Transaction Records
In the event of suspension or permanent deletion due to serious violations:
1. Waiver of Data Claims: The violating party waives any rights to access or claim their personal data, transaction records, or any content created on the platform.
2. Platform's Right to Retain Records: The platform may retain copies of the violating party’s records for as long as legally necessary or as required for legal defense.
Article 4: General Terms
1. Platform Nature: FoodieHub is a facilitation tool, not a party to any sale or purchase agreement.
2. Financial and Operational Disclaimer: The platform is not responsible for payments, credit, product quality, or delivery delays.
3. Legal Accountability: The platform is not liable for disputes between parties.
4. Data Accuracy: Users must provide accurate registration and business license information.
5. Jurisdiction: All terms and transactions are subject to the laws of the Kingdom of Bahrain.
Article 5: Return and Replacement Policy
1. Reporting Timeframe: The restaurant must report defects or shortages within one business day of receipt.
2. Inspection Responsibility: Restaurants must inspect goods immediately upon receipt.
3. Return Cases: Suppliers must accept returns or replacements for clear defects, expired products, or significant mismatches with the order.
4. Platform Role in Disputes: The platform may verify claims and provide non-binding recommendations.
Article 6: User Data Protection and Privacy
1. Purpose of Data Collection: To improve services, facilitate transactions, and enhance security.
2. Necessary Data Sharing: Users agree that the platform may share necessary data (name, address, contact) only between contracting parties to complete delivery and payment.
3. Security Measures: The platform implements high standards of protection and encryption.
4. User Rights: Users have the right to access or modify their data.
Article 7: Disciplinary Actions and Account Deletion
1. Suspension and Deletion Authority: The platform may suspend or permanently delete accounts for serious violations.
2. Misconduct Violations: Includes non-payment, repeated quality breaches, or attempts to circumvent the platform.
3. Data Waiver: Violating parties waive any rights to access or claim their data or transaction records after deletion.
4. Platform's Right to Retain Records: The platform may retain records of violators for future legal purposes.
